Terms of Service

Effective . These terms are between you and Outwith Studio LLC, d/b/a bookrun (“bookrun”, “we”).

What bookrun is

bookrun is software for running a business you work in yourself: quoting, scheduling, invoicing, and getting paid. You use it to run your business. We provide the tool; the work, the prices, the promises to your customers and the quality of the job are yours.

Your account

Payments; an important distinction

Money your customers pay you does not pass through bookrun. Card payments are processed by Stripe as charges on your Stripe connected account. You are the merchant of record for your own work. We never hold, control or redistribute your funds, and we take no percentage of them.

That means the commercial relationship with your customer is yours: refunds, disputes, chargebacks and any obligation to do the work are between you and them. If a customer disputes a charge, it's resolved between you, the customer, and Stripe.

Your use of Stripe is also governed by Stripe's own agreement, which you accept when you connect your account.

Sales tax

Tax on your work is yours to determine, collect and remit. Whether what you do is taxable, at what rate, in which jurisdictions, and how often you file are all questions about your business and where you're registered — not questions bookrun can answer for you. We don't look rates up and we don't give tax, legal or accounting advice.

If you turn tax on, bookrun applies the rate you enter to the services you mark as taxable, shows the resulting amounts on your quotes and invoices, and keeps a record of what was charged. That's arithmetic on numbers you supplied. It isn't a representation that the rate is correct, that the services are taxable, or that you're registered anywhere.

Because you're the merchant of record, any tax your customers pay is collected by you and held by you. bookrun never receives it, never holds it, and does not file returns on your behalf. If you're not sure what you owe, talk to your state revenue department or an accountant before relying on anything you see here.

Subscription and billing

Messages sent on your behalf

bookrun sends quote links, confirmations, reminders and invoices to your customers, identified as coming from your business. By using these you confirm that:

We may suspend messaging for an account that generates spam complaints. We do this out of caution. Every operator sends through shared infrastructure and one account's behavior affects whether everyone else's quotes arrive.

Your data

Your business's records are yours. You can export everything at any time from Settings, and delete your account and its contents from the same place. What we do with data while you're using bookrun is described in the Privacy Policy.

Acceptable use

Don't use bookrun to break the law, to impersonate someone, to send spam, or to attack the service or the people using it. Do not try to access another operator's data.

Availability

We work to keep bookrun running, but we don't promise it will be available without interruption. We may change or discontinue features. If we discontinue the service altogether, we'll give reasonable notice and time to export your data.

Liability

bookrun is provided as-is. To the extent the law allows, we are not liable for lost profits, lost business, or indirect or consequential losses, and our total liability is limited to what you paid us in the twelve months before the claim.

Nothing here limits liability that can't be limited by law.

Cancellation

You can stop using bookrun and delete your account at any time. We may suspend or close an account that breaks these terms, and we will tell you why where we can.

Governing law

These terms are governed by the laws of Pennsylvania, without regard to conflict-of-laws rules.

Changes

We'll give notice in the app or by email before material changes take effect.
